Terms and conditions

Last updated November 2026.

1. About these terms

These Terms and Conditions (“Terms”) establish a binding legal agreement governing your use of the Symtex website (symtex.pk) and the Symtex ERP and POS software platform, tools, and professional services provided by Symtex (“we”, “us”, or “our”).

By browsing symtex.pk, registering an account, or deploying our software, you agree to comply with and be bound by these Terms. If your business purchases a Symtex deployment, your signed commercial quotation, statement of work, or order form (“Order Form”) supplements these Terms. In the event of a direct conflict, the specific provisions of your executed Order Form shall supersede these Terms.

2. The software and professional services

Symtex licenses cloud-based ERP and point-of-sale software, complemented by professional services including initial workspace provisioning, data migration, staff training, and ongoing technical support:

  • Authorized Scope: Your subscription grant, active modules (e.g., Inventory, POS Billing, Accounting, Multi-Branch, Warehouse Management), and quantitative caps (number of permitted branches, active POS cash counters, and user licenses) are strictly defined in your Order Form.
  • Product Roadmap & Beta Features: Capabilities labeled on symtex.pk as “Coming Soon”, “Waitlist”, or “Preview” reflect prospective development milestones. They do not constitute binding commercial warranties and are subject to modification or timeline adjustments at Symtex’s sole discretion.

3. User accounts, access management, and security

You are responsible for administering user accounts within your organization’s Symtex workspace:

  • Role-Based Access Control: You maintain sole discretion over assigning user roles (e.g., cashier, store manager, inventory supervisor, auditor) and setting corresponding data access privileges.
  • Credential Safeguards: You must ensure that your employees maintain confidential passwords, activate multi-factor authentication where supported, and operate on malware-free terminal devices.
  • Compromise Notification: You agree to notify Symtex immediately at inquiry@symtex.pk upon discovering any unauthorized entry, credential leakage, or suspicious account behavior.

4. Commercial fees, billing cycles, and payment

Pricing tiers, implementation fees, and chosen payment structures (monthly recurring, annual recurring, or one-time license models) are outlined in your commercial quote:

  • Invoicing & Due Dates: Unless otherwise specified in your Order Form, subscription fees are billed in advance, and commercial invoices are payable within seven (7) calendar days of issuance.
  • Taxes & Levies: Quoted prices exclude applicable federal and provincial sales taxes, withholding taxes, and statutory duties in Pakistan. All mandatory statutory taxes will be transparently itemized on your tax invoice.
  • Overdue Accounts & Read-Only Transition: If payment is not received within fourteen (14) calendar days following an overdue notice, Symtex reserves the right to transition your workspace into Read-Only Mode. In Read-Only Mode, your staff can view historical data and generate reports, but creating new POS sales receipts, posting ledger entries, or receiving purchase orders will be temporarily suspended until full payment is settled.
  • Data Protection During Arrears: Symtex guarantees that your historical business records will not be deleted due to non-payment during a sixty (60) day grace period following account suspension, allowing you ample opportunity to regularize your account.

5. Data ownership and regulatory tax compliance

Your operational integrity and independence are core to our platform design:

  • Customer Retains 100% Ownership: You retain exclusive ownership, title, and intellectual property rights in all data, customer files, inventory counts, and financial ledgers entered into Symtex. You grant Symtex a strictly limited, non-exclusive license to host, replicate, and process this information solely to maintain software operations on your behalf.
  • FBR Digital Invoicing & Legal Duty: You remain solely responsible for the legal validity, financial veracity, and tax accuracy of all business records created on Symtex. You are strictly responsible for complying with all Federal Board of Revenue (FBR) sales tax invoicing rules, digital token configurations, and provincial revenue board mandates. Symtex is a management and billing tool; it does not provide legal, financial, or certified tax advisory services.

6. Acceptable use and platform integrity

You agree that neither you nor your authorized users will engage in any of the following prohibited actions:

  • Reverse Engineering: Disassembling, decompiling, reverse-engineering, or copying any underlying software source code, proprietary algorithms, or UI components of Symtex.
  • Unauthorized Multi-Tenancy: Reselling, subleasing, or sharing your Symtex credentials with third parties or external commercial enterprises not covered in your Order Form.
  • System Interference: Deploying automated scrapers, conducting unauthorized penetration testing, launching denial-of-service attacks, or attempting to compromise tenant boundaries.
  • Unlawful Conduct: Utilizing the software for illegal commercial activities, money laundering, fraudulent invoicing, or evasive record keeping.

7. System availability, maintenance, and support

We engineer Symtex to meet high-uptime enterprise standards:

  • Platform Uptime: While Symtex strives to maintain 99.5%+ system availability, we do not warrant uninterrupted, error-free operation. Scheduled system maintenance will be communicated in advance, and Symtex is not liable for disruptions resulting from external internet service outages, nationwide telecom blackouts, or local electricity failures.
  • Customer Support: Standard technical support is accessible via WhatsApp, telephone (+92 336 1118654), and email (inquiry@symtex.pk). Response times and dedicated SLAs correspond to the specific support tier defined in your Order Form.

8. Limitation of liability

To the maximum extent permitted under the laws of the Islamic Republic of Pakistan:

  • Exclusion of Consequential Losses: Under no circumstances shall Symtex, its founders, officers, employees, or technical contractors be held liable for indirect, incidental, punitive, or consequential damages, including loss of profits, lost revenue, stock discrepancies, tax penalties, or business interruption, regardless of whether Symtex was advised of the possibility of such losses.
  • Aggregate Financial Cap: The total aggregate liability of Symtex arising under or connected to this agreement, whether in contract, tort, or otherwise, shall be strictly capped at the total amount actually paid by your company to Symtex under your Order Form during the three (3) calendar months immediately preceding the event that gave rise to the liability.

9. Term, termination, and structured data export

We believe in earning your business on ongoing merit, not forced lock-in:

  • Voluntary Termination: You may discontinue your Symtex software subscription at any point by giving thirty (30) days’ written notice to inquiry@symtex.pk prior to your next recurring billing date.
  • Termination for Material Breach: Either party may immediately terminate the agreement if the other party commits a material breach of these Terms and fails to cure such breach within fourteen (14) days of receiving written notice.
  • Guaranteed Data Export: Upon written request prior to or within thirty (30) days following termination, Symtex will provide a standardized export of your essential customer, ledger, and inventory database tables (in CSV or Excel format). Following sixty (60) days post-termination, your tenant workspace will be decommissioned and securely deleted.

10. Governing law, dispute resolution, and updates

These Terms and any non-contractual obligations arising out of them are governed exclusively by the laws of the Islamic Republic of Pakistan.

  • Amicable Negotiation: In the event of any commercial disagreement or dispute, both parties commit to attempting good-faith informal resolution for at least thirty (30) business days before initiating formal legal proceedings.
  • Exclusive Court Jurisdiction: If amicable resolution fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Karachi, Pakistan.
  • Policy Modifications: We may modify these Terms to accommodate new platform capabilities or legal requirements. Updated versions will be posted at symtex.pk/terms. Continued utilization of the software after an update constitutes acceptance of the amended Terms.
